1. APPLICATION OF THESE TERMS
These Terms & Conditions apply to products and services supplied by OPCT IT Partners unless a signed agreement, service schedule, quotation or other written contract states different or additional terms.
2. QUOTATIONS AND PROPOSALS
Quotations are based on the information available at the time and remain valid for the stated period. Supplier pricing, exchange rates, stock availability and licensing terms may change before acceptance. A quotation does not reserve stock unless OPCT confirms reservation.
3. ACCEPTANCE AND ORDERS
An order may be accepted by signed approval, written instruction, online acceptance, payment of a required deposit or another clear method agreed by OPCT. OPCT may require additional information before procurement or work begins.
4. PRICES AND TAXES
Prices are those stated on the applicable quotation, order or invoice. Any tax treatment, discount, delivery charge, supplier fee or recurring charge will be shown where applicable.
5. PAYMENT
Payment terms are stated on the relevant quotation, invoice, order or agreement. OPCT may require advance payment or a deposit before ordering goods, starting projects, provisioning licences or providing support.
6. PRODUCTS AND STOCK
Product descriptions and specifications are based on supplier or manufacturer information. Minor specification changes may occur where manufacturers revise models. If a material change affects an approved order, OPCT will discuss the available options with the customer.
7. DELIVERY
Delivery dates are estimates unless expressly agreed otherwise. Delivery is subject to stock, supplier lead time and courier availability. The Shipping & Delivery Policy forms part of these terms where applicable.
8. SERVICES AND SCOPE
OPCT will perform the work described in the approved scope. Work outside that scope, additional faults discovered, changes requested by the customer or additional third-party requirements may result in a revised quotation or additional charge.
9. REMOTE AND ON-SITE SUPPORT
Support may be provided remotely or on site depending on the service. The customer must authorise access and provide a safe working environment, suitable credentials and reasonable cooperation. OPCT may stop work if continuing would create an unreasonable security, safety or legal risk.
10. PRE-SUPPORT PAYMENT
Where a support service is designated as prepaid, the required support fee must be paid or otherwise authorised before support begins. Payment does not guarantee that every fault can be resolved, but it covers the agreed support engagement or initial support scope unless stated otherwise.
11. CUSTOMER RESPONSIBILITIES
The customer is responsible for providing accurate information, maintaining valid licences, following reasonable technical recommendations, ensuring appropriate backups and promptly communicating material changes that affect the service.
12. BACKUPS AND DATA
Unless backup is expressly included in the service, the customer remains responsible for maintaining suitable current backups. OPCT will take reasonable care when working with data, but repair, recovery, migration, malware removal and hardware failure can involve unavoidable data risk.
13. SOFTWARE AND LICENSING
Software and cloud products are also subject to the publisher’s or provider’s licence terms. Customers may not use unlicensed software or ask OPCT to bypass activation, licensing, access controls or security measures unlawfully.
14. HOSTING, DOMAINS AND CLOUD SERVICES
Hosting, domains, cloud resources and third-party platforms depend on external providers. Renewals, suspension, resource limits and acceptable-use rules may be governed by those providers in addition to OPCT’s terms.
15. CONNECTIVITY SERVICES
Internet availability, speed and installation are subject to network coverage, line quality, infrastructure, fair-use rules, provider feasibility and other factors outside OPCT’s direct control. Quoted speeds are service-profile speeds and are not a guarantee that every device will achieve the maximum speed at all times.
16. SECURITY SERVICES
Cybersecurity products and services reduce risk but cannot guarantee that a system will never be compromised. The customer must continue to follow reasonable security practices and report suspected incidents promptly.
17. THIRD-PARTY PROVIDERS
OPCT may use distributors, vendors, couriers, cloud providers, connectivity providers and other third parties. Their own terms may apply to the relevant product or service. OPCT is not responsible for a third party’s independent acts beyond the extent imposed by applicable law or an express OPCT commitment.
18. WARRANTIES
Hardware and software may carry manufacturer or supplier warranties. OPCT’s Warranty & Repairs Policy explains how claims are handled. Services will be performed with reasonable care and skill appropriate to the agreed work.
19. INTELLECTUAL PROPERTY
Pre-existing OPCT methods, templates, tools, know-how, code, documentation and branding remain OPCT property unless otherwise agreed. Customer-specific deliverables are licensed or assigned according to the applicable quotation or agreement. Third-party software remains subject to its own licence.
20. CONFIDENTIALITY
Each party should protect non-public business, technical and customer information received through the relationship and use it only for the relevant business purpose, except where disclosure is authorised or required by law.
21. LIMITATION OF LIABILITY
To the maximum extent permitted by law, neither party is liable for losses that are remote, indirect or not reasonably foreseeable from the relevant breach. Nothing in these terms excludes liability that cannot legally be excluded or limits a consumer remedy that cannot lawfully be limited.
22. FORCE MAJEURE AND EVENTS OUTSIDE CONTROL
OPCT is not responsible for delay caused by events reasonably outside its control, including supplier failure, internet or carrier outages, natural events, power disruption, industrial action, government action or widespread cyber incidents. OPCT will take reasonable steps to communicate and mitigate material disruption.
23. SUSPENSION
Where legally and contractually permitted, OPCT may suspend a service for material non-payment, serious security risk, unlawful use or material breach after appropriate notice or immediately where urgent action is reasonably necessary to protect systems or third parties.
24. TERMINATION
Recurring services and contracts may be terminated according to the applicable agreement and the Service Cancellation & Termination Policy. Charges incurred before termination remain payable.
25. DISPUTES
Customers should raise billing or service disputes promptly so OPCT can investigate. The parties should first try in good faith to resolve a dispute through direct discussion before using formal remedies, without preventing either party from exercising rights available under law.
26. GOVERNING LAW
These terms are governed by the laws of the Republic of South Africa, subject to any mandatory consumer or jurisdictional rules that apply.
CONTACT AND LEGAL PRIORITY
Questions about this policy may be sent to info@opct.co.za. Please include the relevant customer, order, invoice, service or ticket reference where available.
These terms are intended to explain OPCT’s standard business practices. They do not remove any right or remedy that cannot lawfully be excluded or limited. If a provision conflicts with mandatory South African law, the applicable law will prevail to the extent of the conflict.
OPCT may update this policy when business processes, services, technology or legal requirements change. The version published on this website is the current public version.
